These Terms of Service establish a framework governing the use of the company’s services. By engaging with the organization’s offerings, users accept these terms and agree to comply with the rules and obligations described below. The following sections explain acceptance, permitted use, intellectual property rights, liability limitations, termination conditions, and the process for changes to these terms.
Acceptance of Terms
Engagement with the services signifies agreement to these Terms of Service. If there is a separately negotiated agreement signed by authorized representatives of the parties, that agreement will govern to the extent it explicitly supersedes these terms. Otherwise, these terms apply to all services, deliverables, and interactions unless otherwise agreed in writing.
Service Usage
Services are provided for lawful purposes only. Users must not attempt to reverse-engineer deliverables, misuse system access, or bypass security controls. The company may impose usage limits, require authentication mechanisms, and apply fair-use policies to protect system integrity. The organization reserves the right to suspend access where misuse or harmful activity is detected.
Intellectual Property
All intellectual property created by the company in the course of providing services remains the property of the organization unless a specific transfer is documented in a written agreement. Client-supplied materials remain the property of the submitting party. Licenses necessary for operation of deliverables will be granted as specified in the governing agreement, with clear delineation of any third-party components and license obligations.
Limitation of Liability
The company’s liability for direct damages arising from provision of services is limited to fees paid for the specific services giving rise to the claim, except where prohibited by applicable law. The organization is not liable for indirect, incidental, consequential, or special damages, including lost profits, lost data, or loss of business opportunity, even if advised of the possibility of such damages. These limitations apply to the fullest extent permitted by law.
Termination
Either party may terminate services in accordance with the terms set out in the applicable agreement or, absent a separate agreement, by providing reasonable notice. The company may suspend or terminate access immediately if there is a material breach, misuse of services, or conduct that threatens security or legal compliance. Upon termination, rights granted under these terms cease, and parties must follow agreed-upon procedures for return or destruction of confidential information and transition of services.
Changes to Terms
The company may revise these Terms of Service to address legal, technical, or business changes. Notice of material revisions will be delivered through the organization’s customary communication channels. Continued use of the services after publication of amended terms constitutes acceptance of the changes. Where required by law, consent will be sought before applying material changes that affect user rights.
